Point 2 - General Terms and Conditions (GTC) for the Delivery of Property Exposés - Investment Properties - Business Clients Point 1 - The exposé provided to you is exclusively intended for you as the buyer and your company. The contents are to be treated as strictly confidential. Unauthorized disclosure of confidential information from this exposé to third parties or to your contractual partner companies, resulting in a notarial conclusion, will make you liable for damages to us in full commission amount. This applies to both you and your affiliated contractual and business partners, including companies, partner firms, and subsidiaries, with whom you cooperate and are contractually bound. a) Existing companies that seek assistance from third parties (such as investment companies, subsidiaries, cooperative firms, business and contractual partner companies, or similar) in the acquisition of properties to jointly process the purchase (Forward Deal, Joint Venture, Club Deal) are fully liable for commissions to us. b) In the case of hotels where a hotel operator jointly acquires a hotel with its business and contractual partner, with one party purchasing the hotel and the other party operating the hotel (hotel buyer/operator company), both parties are fully liable for commissions to us.
Point 2 - The information regarding the properties is based solely on the information provided to us by third parties. We (KI - Kreth real estate) cannot be held liable for any errors in this information.
Point 3 - In our activities, we act as intermediaries for both parties, namely the buyer and the seller. This enables us to achieve a positive synergy between both parties.
Point 4 - Prior knowledge: If you discover that you are already familiar with the property, the following conditions must be met: a) It must be ensured that the property has not been offered to you more than a year ago. b) The purchase price of the property must not deviate by more than 20%.

If conditions a), b), and c) are not met, it is not sufficient to inform us in writing that you have prior knowledge. These prior knowledge must be substantiated by appropriate written evidence. Otherwise, you remain liable for commission if you acquire the property. We reserve the right to conduct this examination for a period of 3 calendar years. If you wish to report verifiable prior knowledge to us, the sources must contain the following information: company name/agent, property details, price information, exposé, and date of delivery.
Point 5 - Brokerage Commission: In the event of a successful real estate transaction, the agreed commission amount (see information in the exposé / LOI agreement) is earned and due. The payment of the commission is to be made directly to us immediately after the notarization, and is to be paid by you directly. Payment can be made either in cash against invoice or by bank transfer according to personal agreement.
Point 6 - Substitute and Follow-up Transactions: Substitute and follow-up transactions are handled in accordance with the provisions in the terms and conditions stated in points 1 to 6.

Point 3 - Commission arrangement for commercial properties for business clients: Our brokerage commission is earned and payable once the property has been successfully mediated and the notarization has taken place. The payment of the commission is to be made by the buyer. Pre-existing knowledge that has been duly reported by you in accordance with the provisions in the terms and conditions stated in point 2 - Terms and Conditions for Exposé Delivery - Investment Properties - Business Clients, subsection 4.a), b), and c) will only be recognized.
Outside the established regulations, the possibility of a special arrangement exists through agreement or negotiation.
Point 4 - Terms and Conditions for a Brokerage Assignment for Residential Properties:

Our brokerage activities are based on the information provided to us by the client. KI - Kreth real estate assumes no liability for the accuracy and completeness of this information. The sole responsibility for these details lies with the owner. KI - Kreth real estate cannot be held liable for these particulars in any way.
Through the concluded brokerage assignment, we are authorized to publicly advertise the property. This is necessary to find potential buyers for the property.
The points specified in the contract have been discussed verbally in advance and have been confirmed by a signature as an agreement.
Once KI - Kreth real estate has identified potential buyers for the property, the owner is obligated to provide us with the opportunity to arrange viewings with the potential buyers within 3 working days, subject to appointment availability.
If the owner possesses current property documents (e.g., land register extract), they are required to provide them to us for use in our negotiations. See form - Property Documents. In the event that certain property documents are missing, KI - Kreth real estate, as authorized by the owner's power of attorney, has the authority to obtain them from the relevant authorities.
The brokerage commission will be paid to us by the owner after successful notarization in accordance with the contractual terms. Withholding or offsetting our commission is expressly excluded. The agreed commission of 6% plus 19% VAT is payable immediately after notarization and must be paid to us.
KI - Kreth real estate acts as a mediator for both the seller and the buyer. This is the only way to ensure a successful real estate transaction that satisfies all parties.
The place of performance and jurisdiction for KI - Kreth real estate is located at the business headquarters in Hamburg. If one or more of the above provisions are invalid or have changed by law, the remaining provisions shall remain unaffected.
The revocation notice has been added separately to the contract, explained verbally, and recorded in writing.

Point 5 - Terms and Conditions for the Delivery of an Exposé to Private Individuals
Revocation Notice: The revocation notice was introduced in June 2014, and therefore, we are obligated to adhere to it in writing. We would like to inform you that you will receive a written revocation notice from us simultaneously with the delivery of the exposé, either via email, mail, or personal handover.
Delivery of the Exposé: The exposé contains informative details such as property images, descriptions, address, and purchase price. Upon receiving the exposé, you can determine whether the property sparks your interest for purchase. For further information, viewings, and price negotiations, we are at your disposal.
Brokerage Commission: KI - Kreth real estate facilitates property transactions both with and without a commission requirement. Our commission is paid either by the buyer or the seller. If the exposé indicates that no commission is applicable, you will not incur any commission costs. However, if the exposé specifies a brokerage commission, you will be immediately obligated to pay the commission after notarization.
